Welcome to Republic of Green (“RoG,” “we,” “us,” or “our”). These Terms of Use (“Terms”) constitute a legally binding agreement between you and RoG. Please read these Terms carefully before using our platform or services.

These Terms apply to all Republic of Green platforms, including republicofgreen.com, directory.republicofgreen.com, community.republicofgreen.com, and news.republicofgreen.com.

By accessing or using any part of RoG—including our website, business directory, community, job board, events, lead services, or any related features (collectively, the “Service”)—you agree to these Terms and to our Privacy Policy.

1. Acceptance of Terms; Updates

By using the Service, you agree to comply with these Terms, our Privacy Policy, and all other policies or guidelines posted on the Service, which are hereby incorporated by reference. If you do not agree, please do not use the Service.

RoG may modify these Terms at any time. Updates will be posted on our website. Notices to you may be provided by email, posting to your account, or on the Service. Continued use after changes means you accept the revised Terms.

We may update these Terms from time to time. If you do not agree to the changes, you must stop using the Service. Your continued use after the effective date of updated Terms will constitute your acceptance of the changes.

2. Eligibility and Registration

To access or use certain features of the Service (such as posting a business or influencer profile, joining private groups, or receiving leads), you may be required to register for an account and provide accurate, complete information. You agree to update your information as necessary and maintain the security of your account.

RoG may reject or terminate your registration, membership, or listing at any time, for any or no reason, at our sole discretion.

You are responsible for all activity that occurs under your account. You must not share your account credentials or allow others to access your account. If you discover or suspect any unauthorized use, you should notify us immediately.

3. Definitions

For the purposes of these Terms:

“User,” “you,” or “your” means anyone accessing or using the Service, including members, businesses, nonprofits, influencers, and visitors.
“Member” means any registered user of RoG.
“User Content” means all information, materials, and content submitted, posted, displayed, or shared by you on or through the Service, including listings, reviews, comments, images, messages, and other contributions.

4. Permitted Use & Restrictions

You may use the Service only for lawful purposes and in accordance with these Terms. You may not:

Violate any applicable law, regulation, or third-party right.
Impersonate any person or entity or misrepresent your affiliation.
Post, share, or transmit any unlawful, harassing, defamatory, obscene, or otherwise objectionable content.
Engage in spamming, chain letters, junk mail, or any other form of solicitation except as expressly permitted.
Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
Use the Service in a way that could impair, overburden, damage, or disable any part of the platform.

You are solely responsible for your conduct and any data, text, files, information, images, graphics, photos, profiles, audio, video, works of authorship, or other content or materials that you submit, post, or display on or via the Service.

5. Intellectual Property & Proprietary Rights

All content, trademarks, service marks, trade names, logos, and software on the Service (excluding User Content) are owned or licensed by RoG or its licensors, and are protected by copyright, trademark, and other laws. You may not use, copy, modify, reproduce, distribute, or create derivative works from any content or materials on the Service except as expressly permitted.

User Content License: By posting or submitting User Content to RoG, you grant RoG a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, distribute, display, adapt, modify, and promote your User Content in connection with the Service, marketing, and operation of RoG.

You represent and warrant that you own or control all rights to your User Content and that its use does not violate any third-party rights.

6. User Content, Reviews & Community Guidelines

You are solely responsible for your User Content and agree not to submit anything false, misleading, infringing, or otherwise unlawful. RoG reserves the right (but has no obligation) to monitor, review, edit, or remove any User Content at our discretion.

Community Standards: When participating in the RoG community or forums, you agree to:

Treat others with respect, courtesy, and professionalism.
Not harass, abuse, threaten, defame, or stalk others.
Not post or promote anything discriminatory, offensive, or illegal.
Not advertise or solicit business except in designated areas or with permission.
Not harvest or collect other users’ personal data without consent.

User Content License and Removal

By posting or submitting User Content to Republic of Green (“RoG”), you retain all copyright and ownership rights to your content. However, you grant RoG a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, distribute, display, adapt, modify, and promote your User Content in connection with the operation, marketing, and improvement of the Service.

You are responsible for ensuring that your content does not violate the law or any third party rights. We reserve the right to remove, screen, or edit content at our sole discretion and without notice. We may also remove content that we believe is inappropriate, unlawful, or in violation of these Terms.

Content Removal:

You may request removal of your User Content at any time, except where (a) RoG is required to retain the content for legal, regulatory, or business reasons; (b) your content has already been used in published or marketing materials; or (c) removal is impractical due to technical limitations. RoG will make reasonable efforts to honor such requests but cannot guarantee or warrant complete deletion in all cases.

RoG may also retain copies or previous versions of User Content (including edits) for moderation, security, or compliance purposes, even if the content is later edited or deleted by the user.

7. No Automated Data Collection, Scraping, or Unauthorized Export

You may not use any automated means—including robots, spiders, scrapers, bots, browser extensions, or custom scripts—to access, copy, aggregate, or index any part of RoG, including directory listings, user profiles, reviews, or discussions, without our express written consent.

Prohibited activities include:

Downloading or aggregating directory or member data for resale, display, or use elsewhere.
Harvesting member contact information, email addresses, or user content.
Exporting, copying, or systematically retrieving data, except as specifically permitted (e.g., downloading your own business profile).

Violation may result in immediate suspension or termination of your account and legal action.

8. API Access, Integrations, and Data Security

API & Integrations:

Access to RoG via API, integration, or any automated method is only permitted with our prior written consent. Any authorized integration is subject to these Terms and may be revoked at any time. You may not circumvent, disable, or interfere with security or access controls.

Data Security:

RoG uses industry-standard measures to protect your data. Sensitive information (such as payment data) is transmitted securely and handled exclusively by our third-party provider, Stripe. RoG never stores full credit card details.

No Unauthorized Export:

You may not export, scrape, or systematically retrieve any data from the platform except as specifically permitted (such as downloading your own business listing for your records).

9. Directory Services, Leads, and Future Features

RoG may offer features such as premium listings, lead generation, business collaboration matching, or other services from time to time.

Any leads, connections, or arrangements facilitated through RoG are solely between the parties involved.
RoG does not guarantee the outcome, suitability, or results of any lead, match, or connection and is not responsible for any dispute or loss resulting from these services.
Details of future features, including collaboration matching and lead generation, will be provided at launch and governed by these Terms and additional guidelines as appropriate.

We reserve the right to introduce new features, change, limit, or remove features at any time, for any reason, and without notice. Some features may be experimental or in beta and may be discontinued at our discretion.

10. Service Changes & Availability

Republic of Green may add, remove, suspend, or modify any part of the Service, or impose limits on certain features or restrict access, at any time, without notice.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free. We may suspend or discontinue the Service at any time for any reason.

11. Fees, Payments, and Refund Policy

Some features of RoG may require payment (such as premium directory listings, advertising, promotional tools, lead or matching services, or special events). All fees and payment terms are disclosed at the point of purchase and are non-refundable unless otherwise stated.

Refund Policy: Membership and subscription fees are refundable within 14 days of purchase. After this period, all payments are non-refundable except as otherwise specified in writing.

Payment Processing: All payments are processed securely by Stripe. RoG does not store your credit card or sensitive financial information.

12. Third-Party Content and Services

RoG may display, link to, or integrate third-party content, websites, tools, or services. We do not endorse or control any third-party offering and are not responsible for their availability, accuracy, or content. Your interactions with third parties are solely between you and the third party.

13. Account Suspension or Termination

RoG reserves the right, in its sole discretion, to suspend, terminate, or restrict your access to any part of the Service at any time, for any or no reason, with or without notice. Grounds for suspension or termination include, but are not limited to:

Breach of these Terms or other policies;
Illegal, abusive, or fraudulent activity;
Requests by law enforcement or government agencies;
Discontinuance or material modification of the Service.

Upon termination, your right to use the Service will immediately cease, and RoG may remove or delete any of your User Content.

If your account is terminated, you may lose access to your content and any information associated with your account. We are not liable for any loss resulting from termination.

14. Disclaimers

No Warranties:

RoG and its Service are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, secure, or meet your expectations.

No Endorsement:

Any views, advice, or opinions expressed by users or third parties on the Service are solely those of the respective author and do not represent RoG.

15. Limitation of Liability

To the fullest extent permitted by law, RoG, its affiliates, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or relating to your use or inability to use the Service, including lost profits, lost data, or business interruption—even if advised of the possibility of such damages.

If RoG is found liable for any claim arising under these Terms, our total liability will not exceed the greater of (i) the amount you paid, if any, for use of the Service in the twelve months prior to the event giving rise to liability, or (ii) $100.

Some jurisdictions do not allow certain disclaimers or limitations of liability, so some provisions may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless RoG, its officers, directors, employees, agents, partners, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:

Your use or misuse of the Service;
Your User Content;
Your violation of these Terms, any policy, or any applicable law;
Your violation of any third-party right, including intellectual property, privacy, or publicity rights.

17. Copyright, DMCA, and Repeat Infringer Policy

If you believe that any content on RoG infringes your copyright, please notify us by email at hello@republicofgreen.com with the following:

A description of the copyrighted work;
The specific URL or location of the allegedly infringing content;
Your contact information and a statement of good faith belief.

RoG reserves the right to remove content alleged to be infringing and to terminate repeat infringers.

18. Governing Law, Jurisdiction, and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in San Mateo County, California for any dispute arising from or related to these Terms or the Service.

19. Changes to the Service and Terms

RoG reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may revise these Terms by posting an updated version. Your continued use of the Service after changes constitutes acceptance.

20. Miscellaneous

These Terms, together with all policies referenced herein, constitute the entire agreement between you and RoG.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.
No waiver of any term shall be deemed a further or continuing waiver.
These Terms are binding upon your heirs, successors, and assigns.
